Under the
Nevada General Corporation Law and the Registrant’s Articles of Incorporation,
as amended, the Registrant’s directors will have no personal liability to the
Registrant or its stockholders for monetary damages incurred as the result of
the breach of alleged breach by a director of his “duty of care”. This provision
